Photography Services Agreement
Your deposit has been received. Please review the agreement below and sign to confirm your booking. Your session date is reserved upon signing.
This Agreement is entered into between Peter Mayer, doing business as MayerPix Photography ("Photographer"), and the Client identified in the Booking Snapshot below.
The booking is reserved upon receipt of the non-refundable retainer. This Agreement becomes contractually binding when Client completes electronic signature. For all session and coverage types, signature is required no later than twenty-four (24) hours before the scheduled start time. Failure to sign by this deadline entitles Photographer to cancel the reservation, retain the retainer, and release the time slot or date.
By signing electronically, Client confirms full legal capacity and authority to enter into this Agreement. Client expressly and irrevocably waives any right to contest the validity or enforceability of their electronic signature solely on the basis that it was provided in electronic form. Electronic signatures, records, and PDF copies carry the same legal force as handwritten signatures on paper originals.
The non-refundable retainer is due at booking and constitutes consideration for reserving the session slot or event date, holding Photographer's availability, declining other potential bookings, and any complimentary materials or guides provided as part of the booking process.
The remaining balance is due no later than twenty-four (24) hours before the scheduled session start time, regardless of session type. Photographer will send an automated payment reminder with a Stripe payment link three (3) calendar days before the session. Photographer's primary payment method is Stripe. Cash is accepted only upon Photographer's express written approval via email or signed document; a like, comment, or any social-media interaction does not constitute written approval. Any approved cash balance must be paid before services begin.
If the remaining balance is not received by the twenty-four (24) hour deadline, the booking is automatically cancelled, the retainer is forfeited, and Photographer bears no obligation to perform. If services have already been performed, Photographer is not required to deliver any gallery, download link, or final images until all outstanding amounts are paid in full.
If Client has selected a partner studio session, the studio rental fee stated in the Booking Snapshot is due in full at the time of booking and is non-refundable. The studio fee is separate from and in addition to the photography service retainer and remaining balance. Studio availability is subject to confirmation by Photographer within one (1) business day of booking. If the selected studio is unavailable on the booked date and time, Photographer will offer Client the choice of an alternative available studio, an alternative date, or a full refund of the studio fee only. Photographer's photography service retainer remains non-refundable in all such cases.
This Agreement applies only to the services and coverage window stated in the Booking Snapshot. Services begin and end at the scheduled times unless the parties agree in writing to additional time prior to commencement. Deliverables are limited to those expressly stated in the Booking Snapshot. Unless the Booking Snapshot states otherwise, the following add-on rates apply:
- Additional Retouching: $50 per photo
- Additional Outfit Change: $100 per outfit
- Additional Hour: $450 per hour
- Second Photographer (events/weddings): $250 per hour, if approved in writing
- Rental Studio: cost varies; paid separately unless expressly included
A second photographer is not included unless expressly booked. For TFP sessions, Photographer will deliver up to twenty (20) color-corrected images, up to five (5) retouched images, up to two (2) outfits, and up to one (1) location, with final count at Photographer's discretion.
Package inclusions describe services performed during the session. References to locations (studio, home, hotel), lighting, backgrounds, or other production elements describe the type of service provided on-site — not items purchased, rented for, or gifted to Client. Any venue or studio rental fees are Client's responsibility unless expressly stated otherwise in writing.
Client is the primary point of contact and is responsible for all coordination on their side, including providing Photographer with any event schedule, shot list, timeline, access instructions, and logistical information reasonably necessary to perform services. Client is responsible for arriving prepared, on time, and ready to participate, and for ensuring all invited participants do the same. For events and corporate coverage, Client is responsible for coordinating with the venue, planner, organizer, security, and other relevant parties as needed to permit Photographer to perform services without interference.
Client is responsible for obtaining all necessary venue approvals and photography access rights in advance, and for notifying Photographer of any photography restrictions, no-photo rules, flash restrictions, or location limitations. Client is responsible for all additional costs not included in the Booking Snapshot, including parking, permits, entry fees, and venue fees. If services are performed outside Photographer's local service area, Client is responsible for Photographer's actual travel costs including transportation, lodging, and meals.
Photographer retains full artistic and creative discretion over all aspects of the services, including direction, composition, positioning, lighting, timing, cropping, color treatment, retouching, culling, editing style, and final image selection. Client acknowledges having selected Photographer based on Photographer's visible portfolio, artistic style, and creative judgment, and accepts that the delivered work will reflect that style.
Photographer does not guarantee the recreation of any specific inspiration photo, reference image, pose, expression, weather condition, or shot list unless expressly confirmed in a written addendum signed by Photographer. Photographer alone selects which images will be edited and delivered. RAW files are not included and will not be released under any circumstances.
Artistic Style Release: Client expressly acknowledges that Photographer's creative output is inherently subjective and that dissatisfaction with artistic result alone does not constitute grounds for a refund or dispute.
Photographer may provide general posing direction but does not provide medical, safety, childcare, climbing, athletic, or hazard supervision. Client and participants remain responsible for using reasonable care and for declining any pose, movement, or location they consider unsafe or beyond their physical ability. Photographer may refuse or stop any pose, movement, location, or activity Photographer reasonably considers unsafe, and bears no liability for images not captured as a result of exercising this right.
Client and all session participants voluntarily assume all risks of injury, accident, disability, death, or property damage arising from or connected with their participation, including risks arising from their own posing choices, movement, footwear, physical condition, or voluntary actions at the session location. This includes but is not limited to risks of slipping, falling, tripping on uneven terrain, stairs, water features, props, or other environmental conditions.
To the fullest extent permitted by California law, Photographer is not responsible for injuries or property damage caused by the participant's own acts, unsafe movement, disregard of instructions, or dangerous site conditions not created by Photographer. Client and all participants hereby release, waive, and discharge Peter Mayer and MayerPix Photography from any and all claims, demands, and causes of action arising from personal injury, accident, illness, death, or property damage occurring in connection with the session, except for claims arising from Photographer's gross negligence, recklessness, or intentional misconduct.
Client warrants that all participants are in adequate physical condition to participate and will immediately inform Photographer of any safety concern or physical limitation before or during the session. Client agrees to indemnify and hold harmless Photographer from any third-party claims arising from a participant's own conduct or voluntary actions during the session.
The retainer is non-refundable under all circumstances. Client may request reschedules subject to the following terms:
- First reschedule: complimentary, provided a written request is submitted more than twenty-four (24) hours before the scheduled start time and a suitable date is available in Photographer's calendar.
- Each subsequent reschedule: subject to a $25 rescheduling fee, payable before the new date is confirmed.
- Reschedules requested within twenty-four (24) hours of the scheduled start time are not permitted. The booking will be treated as cancelled, the retainer is forfeited, and no rescheduling option is available.
- Standard sessions: arrival up to 20 minutes late reduces shooting time; session ends at the originally scheduled time. Arrival more than 25 minutes late may be treated as a no-show at Photographer's discretion.
- Events and weddings: if the event does not proceed as scheduled due to Client-side causes, Photographer may treat the booking as canceled and retain the retainer.
All reschedule requests must be submitted through the designated reschedule portal at mayerpix.com. Photographer does not guarantee availability on any specific date or time requested. Client is solely responsible for selecting an available date from the calendar shown in the portal. The previously paid retainer carries forward to the rescheduled date. The remaining balance is due twenty-four (24) hours before the rescheduled session start time.
In cases of documented medical emergency or death in Client's immediate family within 48 hours of the scheduled date, Client may reschedule once without penalty upon providing reasonable documentation within five (5) business days. If Photographer is unable to perform, Photographer will offer either rescheduling at no additional fee or a full refund of amounts paid.
If Client reschedules a studio session, the studio fee paid at booking will be applied toward the rescheduled date, subject to studio availability on the new date. If the studio is unavailable on the rescheduled date, Client may choose an alternative available studio or forfeit the studio fee and proceed with an outdoor location instead. Photographer bears no liability for studio availability on any specific rescheduled date, and the photography service retainer and rescheduling policy described above apply independently of any studio fee outcome.
Delivery timelines by service type:
- Portrait, headshot, lifestyle, and TFP sessions: final edited gallery delivered within seven (7) business days of session completion.
- Events, weddings, and corporate coverage: final edited gallery delivered within fourteen (14) business days of coverage completion.
Any earlier estimate is an estimate only and does not alter the applicable maximum delivery period. Delivery will be made to the email address provided by Client at the time of booking. Photographer will send Client an email containing a link to Client's private online gallery. The gallery will include a preview of all delivered images and a single-click option to download all images as a ZIP archive.
The gallery and download link will remain accessible for thirty (30) calendar days from the date of the delivery email. Photographer will send an automated reminder five (5) calendar days before the link expires. After the thirty (30) day storage period expires, Photographer may permanently delete the gallery, preview images, ZIP archive, downloadable files, and all related delivery assets without further notice and without any obligation to restore or re-deliver them.
Upon full payment and subject to this Agreement, Client receives a broad, non-exclusive, perpetual license to use the delivered final images for personal use, social media, self-promotion, professional profile use, and ordinary publicity related to Client's own person, brand, or business. Client may make ordinary platform-specific adjustments. Credit to Photographer is appreciated but not required unless agreed in writing.
For corporate and headshot sessions, the depicted individuals may additionally use their own delivered images for internal business use, company website, company social media, marketing materials, press use, and personal professional social media.
Photographer retains all copyright and ownership in all photographs and related materials. No copyright is transferred to Client. Client may not resell or re-license delivered images as standalone stock assets, nor grant third parties the right to commercially exploit the images as standalone assets, without Photographer's prior written consent. Client may not alter or manipulate delivered images in a manner that materially misrepresents Photographer's work or damages Photographer's professional reputation.
Client grants Photographer a prior, irrevocable, perpetual, worldwide, royalty-free consent to use Client's name, image, likeness, appearance, and photographs from the session — with or without attribution — for Photographer's lawful business purposes, including portfolio display, website, social media, print samples, advertising, marketing, and promotion in any media now known or later developed. No additional compensation or fee shall be owed to Client for any such use.
Client waives any right to inspect or approve Photographer's final editing, layout, captioning, cropping, retouching, or final use of the images. Client acknowledges that Photographer's promotional use of session images is a material component of Photographer's business and constitutes part of the consideration reflected in the session pricing.
If additional adult participants will be photographed, Client represents that those participants have been informed that photography will occur and that general session or event images may be used by Photographer for lawful portfolio, website, social media, and promotional purposes. Client's signature does not replace any consent that applicable law may require from another adult individual for a specific featured use.
For events and corporate coverage, general event scenes, crowd images, and group coverage may be used by Photographer for portfolio and promotional purposes. Client is responsible for notifying guests and attendees that photography will occur at the event.
If the session includes a minor child, the signing Client represents and warrants they are the minor's parent or legal guardian and grants all consents in this Section on behalf of that minor.
If the session or event includes a minor child, the signing Client confirms legal authority to act on behalf of that minor and warrants under penalty of applicable law that such authority exists. The signing Client grants all consents contained in this Agreement on the minor's behalf — including the right of Photographer to use the minor's likeness for portfolio, marketing, and promotional purposes — and agrees to indemnify and hold harmless Photographer against any claims arising from a false or inaccurate representation of guardianship.
Photographer reserves the right to terminate the session or event coverage immediately and without refund if Client or any participant engages in abusive, threatening, harassing, or otherwise disruptive behavior toward Photographer or any member of Photographer's team. Photographer further reserves the right to refuse or cease coverage in the event of unsafe conditions at the location, unsafe instructions from Client, or any circumstance that, in Photographer's sole judgment, creates an unreasonable risk of harm to Photographer, equipment, or any person present.
Once photography services have been performed, and absent Photographer's own cancellation or failure to perform as required herein, all payments are final and non-refundable. Dissatisfaction arising from personal appearance, expressions, subjective aesthetic taste, weather conditions, third-party interference, venue conditions, guest behavior, schedule issues, or preferences not expressly guaranteed in writing does not constitute grounds for a refund.
Photographer is not liable for delays, missed moments, reduced coverage, or nonperformance caused by traffic, weather, illness, emergency, venue restrictions, permit issues, actions of security or staff, blocked views, guest interference, participant noncooperation, late starts, inaccurate client instructions, equipment failure despite reasonable care, internet or platform failures, or other causes beyond Photographer's reasonable control.
Photographer is not liable for the failure to capture any specific image, person, moment, grouping, pose, expression, or composition not expressly guaranteed in a written addendum signed by Photographer. In the unlikely event of total loss of all images due to equipment failure or data corruption despite Photographer's reasonable care, Photographer's maximum liability shall be a full refund of amounts paid. Photographer's liability shall not extend to consequential, incidental, punitive, or emotional damages of any kind. To the maximum extent permitted by law, Photographer's total liability arising out of this Agreement shall not exceed the total amount actually paid by Client.
Neither party shall be liable for failure or delay in performance caused by circumstances beyond their reasonable control, including natural disasters, earthquakes, fire, flood, pandemic, epidemic, government orders, acts of war or terrorism, civil unrest, or power outages. In such cases, Photographer will make reasonable efforts to reschedule at the earliest practicable date. If rescheduling is not possible, Photographer may offer a full refund of amounts paid.
Both parties agree to handle any disputes privately and in good faith before making any public statements regarding the outcome of any disagreement. Client agrees not to make, publish, or encourage any false, misleading, or defamatory statements about Photographer, MayerPix Photography, or Photographer's services in any public forum, review platform, or social media channel. Photographer agrees to the same standard of conduct toward Client.
The parties agree to attempt good-faith resolution of any dispute for fifteen (15) calendar days after written notice via email. If no resolution is reached, either party may bring an eligible claim in California small claims court or any other court of competent jurisdiction.
Client agrees to conduct this transaction and sign all documents electronically. Client confirms full legal capacity and authority to sign electronically and expressly waives any right to contest the validity or enforceability of their electronic signature solely on the basis that it was delivered in electronic form. Electronic signatures, records, and PDF copies carry the same legal force as paper documents bearing handwritten signatures.
Photographer may send this Agreement, notices, invoices, payment confirmations, reminders, gallery delivery links, and all related communications by email to Client's email address on file. Personal information is handled in accordance with Photographer's Privacy Policy as posted on mayerpix.com.
This Agreement is governed by the laws of the State of California, without regard to conflict-of-law principles. Venue shall lie in the California county where Photographer's principal place of business is located. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Failure by either party to enforce any provision shall not constitute a waiver of future enforcement rights.
This Agreement, together with the Booking Snapshot and any signed addendum expressly incorporated herein, constitutes the entire agreement between the parties for the booked services and supersedes all prior discussions, representations, and understandings. Any modification must be in writing and signed by both parties.
